Initial public offering of 46,296,296 equity shares bearing face value of Rs. 10/- each (the "Equity Shares") of Wework India Management Limited ("Company" or "Issuer") for cash at a price of Rs. 648 per equity share including a share premium of Rs. 638 per equity share (the "Offer Price") aggregating to Rs. 3000 crores through an offer for sale (the "Offer") of 35,402,790 equity shares by the promoter selling shareholder aggregating to Rs. 2293.83 crores and up to 10,893,506 equity shares by the investor selling shareholder aggregating to Rs. 705.82 crores (Collectively, the "Selling Shareholders") (the "Offer for Sale" and such Equity Shares, the "Offered Shares"). The offer includes a reservation of up to 59,523 equity shares of face value of Rs. 10/- each, aggregating to Rs. 3.5 crores (Constituting up to 0.04 % of the Post Offer Paid-up Equity Share Capital of the Company for Subscription by Eligible Employees (the "Employee Reservation Portion"). The offer less the employee reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer shall constitute 33.33 % and 33.29 %, respectively, of the post-offer paid-up equity share capital of the company. The company may, in consultation with the brlms, offer a discount of Rs. 60 on the offer price to eligible employees bidding in the employee reservation portion ("Employee Discount"). Price Band: Rs. 615/- to Rs. 648/- for equity share of face value of Rs. 10 each. The floor price is 61.50 times times the face value and cap price is 64.80 times of the face value of the equity shares. Bids can made for a minimum of 23 equity shares and in multiples of 23 equity shares thereafter. A discount of Rs. 60 per equity share is being offered to eligible employees bidding in the employee reservation portion.
