Initial public offer of 24,883,778 equity shares of face value of Re. 1 each ("Equity Shares") of Ventive Hospitality Limited (formerly known as Icc Realty (India) Private Limited) ("Company") for cash at a price of Rs. 643 per equity share of face value of Re. 1 each (including a securities premium of Rs. 642 per equity share) ("Issue Price") aggregating to Rs. 1600.00 crores ("Fresh Issue or "The "Issue"). The issue shall constitute 10.66% of the post-issue paid-up equity share capital of the company. This issue included a reservation of 16,313 equity shares of face value Re. 1 each (constituting up to 0.01% of the post-issue paid-up equity share capital of the company) aggregating to Rs. 1.00 crores for subscription by eligible employees (as defined hereinafter) (the "Employee Reservation Portion"). The company, in consultation with the brlms offered a discount of up to 4.67% of the issue price to eligible employees bidding in the employee reservation portion (Employee Discount). The issue less the employee reservation portion is hereinafter referred to as the "Net Issue". The issue and the net issue constituted 10.66% and 10.65% of its post-issue paid-up equity share capital of the company, respectively. The face value of the equity shares is Re. 1 each, the issue price is 643 times the face value of the equity share.
